Terms of Service

These Terms of Service ("Terms") govern your access to and use of the runner.exchange website, interface, and related services (together, the "Service"). Please read them carefully. By using the Service you agree to these Terms.

1. Acceptance of these terms

By accessing or using the Service, connecting a wallet, or otherwise interacting with the runner.exchange interface or the smart contracts it front-ends (the “Protocol”), you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

By using the Service you represent and warrant that you:

  • are at least 18 years old and have the legal capacity to enter into these Terms;
  • are not located in, or a resident or citizen of, any jurisdiction where use of the Service is prohibited, and are not subject to any sanctions administered by any government;
  • will comply with all laws and regulations that apply to you, including tax and securities laws; and
  • are not using the Service to circumvent any law or sanction.

3. The service

runner.exchange provides a non-custodial interface to a set of permissionless smart contracts deployed on Robinhood Chain. The Service lets anyone create a token that trades on a bonding curve and, on reaching a threshold, migrates its liquidity into a Uniswap pool.

We never take custody of your tokens, ETH, or private keys. All transactions are executed by you, from your own wallet, directly against public smart contracts. We do not control the underlying blockchain, wallets, or the Uniswap protocol, and we cannot reverse, cancel, or refund any transaction.

4. No professional advice

Nothing on the Service is financial, investment, legal, tax, or other professional advice, and nothing should be relied on as such. Tokens created or traded through the Service are not offered or endorsed by us, may have no value, and are frequently created for entertainment. You are solely responsible for your own decisions and for conducting your own research.

5. Assumption of risk

You understand and accept that using the Service carries significant risk, including but not limited to:

  • Total loss. Digital assets are highly volatile and you may lose the entire value of anything you buy or contribute.
  • Smart contract risk. The Protocol's contracts are audited by our internal security team, but not subject to third party review, and may contain bugs, errors, or vulnerabilities that could result in loss of funds.
  • No liquidity guarantee. A token may never graduate, may have thin or no market, and may be impossible to sell at any price.
  • Third-party and technology risk. Wallets, RPC providers, the blockchain, and the Uniswap protocol may fail, be attacked, or behave unexpectedly.
  • Regulatory risk. The legal treatment of digital assets is uncertain and may change.

You accept all of these risks. To the maximum extent permitted by law, you waive any claim against us arising from them.

6. User-created tokens

Tokens are created by users, permissionlessly. We do not create, vet, endorse, or vouch for any token, its creator, its name, its image, or its associated links. A token's name or ticker may resemble a real brand, person, or asset without any affiliation.

Token creators are solely responsible for their tokens and for any content, metadata, or claims they attach to them, and for ensuring their token does not infringe any third party's rights or violate any law. You are responsible for evaluating any token before interacting with it.

7. Your responsibilities

  • You are solely responsible for the security of your wallet, private keys, and seed phrase. We can never recover them.
  • You are responsible for determining and paying any taxes that apply to your activity.
  • You are responsible for complying with all laws that apply to you.
  • You are responsible for verifying contract addresses and transaction details before signing.

8. Fees

The Protocol may charge a fee to create a token, a fee on curve trades (shared between the Protocol and the token's creator), and a fee at graduation. After graduation, trading occurs on Uniswap and is subject to Uniswap's own pool fee. You are also responsible for network gas fees. Fees are enforced by the smart contracts and may be changed for future launches; the parameters snapshotted for an existing token do not change.

9. Affiliate program

The affiliate program is invite-only and offered at our sole discretion to approved affiliates and brand ambassadors. Rewards are attributed on a first-touch basis from on-chain activity and are settled from protocol revenue. We may modify, suspend, or terminate the program, adjust reward rates, require identity verification before any payout, and revoke participation, at any time and for any reason, including for fraud, self-dealing, or abuse. Rewards are not guaranteed and confer no ownership or securities interest.

10. Prohibited conduct

You agree not to use the Service to:

  • break any law or regulation, or facilitate illegal activity;
  • engage in fraud, market manipulation, wash trading, or deceptive schemes;
  • launch tokens that infringe intellectual-property rights, impersonate others, or promote illegal activity;
  • interfere with, attack, or attempt to gain unauthorized access to the Service or its infrastructure;
  • use bots or automated means to abuse the affiliate program or the Service; or
  • use the Service from a prohibited jurisdiction or to evade sanctions.

11. Livestreaming

The Service may let a token's creator broadcast live video and audio (“Streams”) on that token's page. Livestreaming is an optional feature delivered through third-party providers and is provided on the same “as is” basis as the rest of the Service. These streaming terms are in addition to, not instead of, the rest of these Terms (including Section 10).

Eligibility to broadcast. Only the on-chain creator of a token may broadcast on its page, and only from a wallet they control. You must be at least 18 years old to broadcast. Before going live you must confirm your age and accept these Terms; doing so re-affirms the representations in Section 2.

You are the broadcaster. You are solely responsible for everything in your Stream, including the conduct and appearance of anyone who participates in or is shown in it. You represent that you own or have all rights, licences, and consents necessary for everything you broadcast, and for the likeness and voice of every person who appears.

Prohibited stream content. You must not broadcast, and must not allow anyone in your Stream to broadcast:

  • any content that is illegal or that promotes, facilitates, or depicts illegal activity;
  • any child sexual abuse material or any content that sexualizes minors — this is subject to zero tolerance, immediate termination, preservation, and reporting to law enforcement and the relevant authorities (including, where applicable, NCMEC);
  • nudity, pornography, or sexually explicit conduct;
  • graphic violence, gore, cruelty, or content depicting or encouraging self-harm or suicide;
  • hate speech, harassment, bullying, threats, or incitement of violence against any person or group;
  • doxxing or the disclosure of any person's private or identifying information without consent;
  • content that infringes any intellectual-property or other right (including music, film, or broadcasts you do not have rights to);
  • impersonation of any person or entity, or fraudulent, deceptive, or manipulative schemes; or
  • any content prohibited elsewhere in these Terms.

Moderation and enforcement. Streams are public and may be monitored, sampled and analyzed by automated systems, reviewed by us, and reported by viewers. We may, at any time and at our sole discretion, with or without notice: interrupt, suspend, or terminate any Stream; remove content; and warn, suspend, or permanently ban any creator or wallet. Automated tools and report thresholds may temporarily suspend a Stream automatically pending review; this is a safety circuit breaker, not a determination of wrongdoing, and our enforcement decisions are final. We are under no obligation to monitor any Stream, and any monitoring we do creates no liability for us.

Recording, retention, and publicity. Streams are broadcast publicly. You have no expectation of privacy in anything you broadcast, and others may view, screenshot, record, or re-share it; we are not responsible for their doing so. We (and our providers) may record and retain Streams and related data for safety, moderation, legal-compliance, and enforcement purposes, and may disclose them to law enforcement where we believe in good faith it is required or appropriate.

Third-party providers.Livestreaming relies on third-party delivery and moderation providers that we do not control (see Section 13). Streaming may be delayed, interrupted, degraded, or discontinued at any time, and we do not warrant its availability. Your use of it is also subject to those providers' terms.

By broadcasting, you grant us a worldwide, non-exclusive, royalty-free licence to host, transmit, record, and display your Stream in connection with operating, moderating, and promoting the Service, and you agree to indemnify us for your Stream as set out in Section 16.

12. Intellectual property

The runner.exchange name, logo, and interface are ours and are protected by intellectual-property laws. You may not use them without permission. Content you submit (such as token metadata) remains your responsibility; by submitting it you grant us a non-exclusive licence to display it in connection with the Service.

13. Third-party services

The Service relies on and links to third-party services — including wallet providers, RPC and infrastructure providers, block explorers, and the Uniswap protocol — that we do not control and are not responsible for. Your use of them is governed by their own terms.

14. No warranties

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, accurate, or error-free.

15. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or any loss of profits, tokens, or data, arising from or related to your use of the Service — even if we have been advised of the possibility. Our total liability for any claim will not exceed the greater of the fees you paid to us in the 30 days before the claim or US$100.

16. Indemnification

You agree to indemnify and hold us harmless from any claim, loss, or expense (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

17. Changes & termination

We may modify these Terms or the Service at any time. Changes take effect when posted; your continued use means you accept them. We may restrict or discontinue access to the Service, in whole or in part, at any time. The Protocol's smart contracts, being permissionless, may continue to operate independently of the Service.

18. Governing law & disputes

These Terms are governed by the laws of the jurisdiction in which the operator of the Service is organized, without regard to conflict-of-law rules. Any dispute will be resolved in the courts of that jurisdiction, unless the parties agree otherwise. You agree to bring claims only in your individual capacity and not as part of any class action.

19. Miscellaneous

If any provision of these Terms is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. These Terms are the entire agreement between you and us regarding the Service. You may not assign these Terms; we may.
